A major part of the law practice of Larry Israel and Associates is involved with business transactions: buying, selling, divesting, reorganizing, as well as numerous business start-ups in a variety of fields. The following is a list and brief description of various transactions in which Mr. Israel has: · served as lead counsel (and usually chief negotiator as well) for one of the parties, or · has directed the preparation of legal documents as CEO of the Buyer or Seller, or · has reviewed and negotiated transactional documents initially presented by the other party.

1. Sale of $12M electronics business to major domestic competitor. 2. Sale of $2M component manufacturing operation (small part of $30 M company) to German competitor. 3. Sale of $6M electronics manufacturing division of larger company. 4. Purchase of $6M division of a larger company in a field related to Buyer’s operations. 5. Purchase of a $1M company out of bankruptcy, by private party. 6. Sale of two companies in the $500K to $1M range in the physical fitness and personal care industries. |

7. Purchase of minority interest in $6M furniture manufacturer by a private party, followed by profitable divestiture of a line of business. Later purchase of remaining interest in firm. 8. Acquisition of patent rights as basis for starting a new company to capitalize on the technology. 9. Licensing of technology for commercialization, coupled with joint-venture type of arrangement for exploitation of the technology. 10. Purchase and lease of commercial/industrial facilities for business purposes. The use of the words “Sale” or “Purchase” define which side of the transaction was represented. |
